Job Description & Summary

At PwC, our people in deals focus on providing strategic advice and support to clients in areas such as mergers and acquisitions, divestitures, and restructuring. They help clients navigate complex transactions and maximise value in their business deals.

In capital markets accounting advisory services at PwC, you will focus on providing strategic guidance on a broad range of technical accounting, financial reporting, transaction structures and capital markets topics. You will advise clients on complex accounting advisory and financial reporting issues around deals (both public and private) and other transformational business events that may impact an organisation’s value.

About the team:

The Capital Markets, Accounting advisory and Structuring (CMAS) team advises clients on accounting, company law and capital markets issues in the context of both transactions (including Mergers & Acquisitions, listings, and debt raises) and in the ordinary course of business (including finance transformation, accounting and regulatory change, and internal restructures).

Our breadth of experience across different industries and types of transactions allows us to guide senior clients and their stakeholders navigate an increasingly complex and rapidly changing environment. We advise multi-national, publicly-traded companies and private equity-backed businesses on a broad range of technical accounting, financial reporting and capital markets topics, leveraging innovation and technology-enabled delivery.

The role

We are a team of specialists, and your role in CMAS as a Senior Manager will involve applying technical expertise to solve problems and advise clients as they navigate changes in their business. You will be expected to work across our key areas of client delivery, being:

  • Structuring and Accounting Advisory; and
  • Capital Markets Advisory.

You will work in dynamic teams directly for senior stakeholders at a range of clients across industry sectors (including energy, technology, financial services, and retail/consumer) in the UK and around the world. We are a solution-oriented business within the Deals Line of Service, working alongside other parts of the firm (such as M&A Tax) and other professional advisors to provide technical expertise on accounting, structuring, and capital markets considerations across the CMAS business.

We deliver our projects working in small teams with a flat structure, owning planning, budgeting and execution across multiple workstreams, meaning you will work closely with partners and directors in CMAS and other areas of PwC, whilst leading, managing, and coaching junior colleagues. You will partner with CMAS and Deals leadership to ensure collective accountability for quality, timelines and deliverables, and you will exemplify our purpose and values with integrity and authenticity.

Your responsibilities will include:

  • Leading multiple workstreams and teams advising on a variety of engagements from an accounting, structuring and capital markets perspective;
  • Designing solutions to structure key transactions to achieve the optimal outcome for our clients navigating capital market and other transactions;
  • Leading on the delivery of innovative reports and presentations for discussions with clients and other advisors, covering complex accounting issues, legal and regulatory issues;
  • Taking ownership for project planning, budgeting, execution and successful completion, including risk management and quality control;
  • Managing client accounts and relationships, including strategic account planning, pipeline development and identification of opportunities that contribute to the firm’s success;
  • Coordinating the input of PwC teams from different lines of service and territories to deliver transactions;
  • Collaborating with senior company management teams, bankers, lawyers and other advisers in the UK, North America, Europe and more widely;
  • Driving the growth of the business, through involvement in targeting opportunities, building internal and external networks and identifying opportunities to help your clients.
  • Advising on transformational events including IPOs and other equity offerings, debt offerings and private placements, acquisitions and alliances, post-deal accounting, restructurings, restatements and bankruptcies, and GAAP conversions (including IFRS–US GAAP considerations);
  • Coaching and developing teams, using review as a learning opportunity, mentoring high performers, and addressing conflicts constructively with clients and stakeholders; and
  • Upholding professional and technical standards, the Firm’s code of conduct, and independence requirements.

 Skills and experience

Essential

  • Must possess a ACA Qualification (or an international equivalent).
  • A keen interest in transactions and technical accounting.
  • Good client management skills including the ability to support relationships with senior stakeholders.
  • Intellectual agility and ability to apply a problem-solving mindset to solve client problems.
  • Strong technical accounting background with IFRS (and preferably UK GAAP).
  • Strong oral and written communication skills and the ability to prepare and review high quality technical reports.
  • A strong commercial mindset, grasping business issues quickly and demonstrating the ability to add value to our customers.
  • Strong project management skills with the ability to manage time, prioritise time-sensitive projects and successfully collaborate with internal and external stakeholder groups to manage them through transformational events.
  • Demonstrated experience leading teams and multiple workstreams in a professional services environment, with accountability for quality, timelines and deliverables.
  • Proven experience advising multi-national clients on complex accounting and capital markets topics, including offerings and post-deal reporting.
  • Commitment to upholding professional standards and independence requirements, and to leading with integrity and authenticity.
  • Fluency with technology-enabled delivery, including the application of digital tools and data to enhance engagement execution.
  • Experience of transaction programme management support for clients on multi-workstream transactions e.g. IPOs, debt and demergers 
  • Experience establishing and leading programme governance, stakeholder alignment and reporting 
  • Experience developing transaction workstream plans, delivery roadmaps and other core programme delivery outputs 

Desired

  • Experience of providing clients with advice and support on practical business issues. Including IPO readiness, debt offerings, private placements, acquisitions, alliances, postdeal accounting, restructurings, restatements, bankruptcies and GAAP conversions.
  • Experience with US GAAP and SEC reporting is an advantage for capital markets and crossborder transactions.
  • Comfortable with technology-driven problem-solving in accounting.
  • Agility in learning and mastering new tools and accounting technologies on the job.
  • Experience with IPO readiness, debt and equity offerings, private placements and related capital markets processes.
  • Experience with acquisitions, alliances, separations and integrations, including post-deal accounting.
  • Experience with restructurings, restatements and bankruptcies.
  • Experience with GAAP conversions and complex accounting change (e.g., IFRS–US GAAP).
  • Experience managing client accounts, strategic planning and mentoring junior staff.
