Job Description

The Senior Counsel, Strategic Procurement Contracting role at Genpact is responsible for the legal aspects of strategic-wide procurement and sourcing activities, supporting a broad portfolio of procurement contracts, supplier agreements, and strategic sourcing initiatives across Genpact’s global operations. The Senior Counsel, Strategic Procurement Contracting reports directly to the Assistant Vice President, Senior Counsel and Legal Team Lead for Strategic Procurement and works directly with designated executives and department managers to ensure compliance of contractual terms in line with Genpact’s acceptable levels of risk.

 

The Senior Counsel, Strategic Procurement Contracting will also interact and negotiate agreements directly with vendors to advance the goals of the business. The Senior Counsel, as a member of the Legal team, helps ensure that the company, including executive management and employees, are in compliance with company policies and procedures, applicable laws and regulatory guidance, and contracting norms.

 

Responsibilities:

 

  • No less than five (5) years of direct experience negotiating and managing strategic procurement contracts, supplier agreements, and strategic sourcing transactions for a large multinational corporation or service provider.
  • Experience negotiating and drafting complex and strategic long-term agreements with clients to provide outsourced and technology related services
  • Experience negotiating and drafting agreements with complex IT and non-IT vendors
  • Experience with service offerings utilizing bundled technology (i.e., software and services as a solution) including third party master terms and master services and software agreements and data privacy best practices.
  • Experience driving a strong compliance culture that involves monitoring high risk areas associated legal and operating requirements.
  • Experience contracting with large multi-national corporations and an ability to identify and mitigate legal and regulatory risks.
  • Excellent, self-starting, organizational and project management skills with experience in coordinating multi-task responsibilities and projects.

  • Solution-oriented with strong time management skills.
  • Ability to provide practical business friendly legal advice.

  • Responsible for, and has the authority to make, strategic legal and contractual commitments that directly impact the compliance health and soundness of the company.
  • Responsible to negotiate, draft, review and finalize vendor and supplier contracts to company standards.
  • Responsible for adherence to the company’s global Integrity Policy, to prevent illegal, unethical, or improper conduct and to ensure compliance with the industry standards, laws, and applicable regulations.
  • Assist in training department heads and employees to ensure that all legal and compliance related responsibilities are clearly identified and understood. Maintain necessary training materials, policies and procedures in an easily accessible format.
  • Ensures all regulatory and contractual requirements are implemented, monitored and evaluated as required.
  • Consults with senior attorney(s) and subject matter experts as needed to resolve difficult legal issues.
  • Monitors, and as necessary, coordinates compliance activities of other departments to remain abreast of the status of all compliance activities and to identify trends.
  • Working closely with the business to scope, identify, and mitigate risks associated with outsourcing liabilities, compliance with laws, and intellectual property.

Assist in updating and reviewing policies and procedures based on regulatory changes, internal audits, and client audits
