Senior Counsel, Global Asset Management
Job Description
WHAT IS THE OPPORTUNITY?
As Senior Counsel, you will be a key member of the legal team supporting RBC Global Asset Management (“GAM”). In this role, you will work directly with the GAM business and other functional teams to provide legal support for a broad range of areas including strategic business initiatives and legal risk issues pertaining to the business. You will advise the business on a range of asset management matters, including the structuring, offering and ongoing operation of publicly- and privately-offered investment funds. You will also advise on regulatory developments impacting the GAM business and helping to identify and manage legal, regulatory and reputational risks.
WHAT WILL YOU DO?
Advise on the structuring, offering and ongoing operation of publicly- and privately-offered investment funds
Draft, review and support the business to maintain public fund disclosure documents, including prospectuses, fund facts and MRFPs
Work closely with our Compliance partners on matters relating to investment restrictions, conflicts of interest and the Independent Review Committee
Draft and negotiate agreements, including sub-advisory agreements, dealer agreements, investment management agreements and subscription agreements
Advise on various regulatory developments that may impact the business, and help identify and manage legal, regulatory and reputational risks
Work with senior members of the legal team, Compliance and the business in formulating and executing policies and procedures for addressing legal, regulatory and reputational risks as they relate to relevant products
Partner with the business and broader enterprise on strategic business initiatives by providing legal advice in relation to their strategic goals and objectives
Manage cost and performance of external counsel and the demand for internal and external legal services
WHAT DO YOU NEED TO SUCCEED?
Must have:
LLB or JD and called to the Bar of a Canadian province
7+ years of relevant experience gained in private practice, at a securities regulator or in an in-house role
Knowledge and experience with National Instruments NI 81-101 through NI 81-107, National Instrument 31-103, investment funds and general securities and corporate law
Strong written, oral communication and presentation skills with the ability to manage contentious issues
Strong leadership skills, excellent judgment and the ability to work under tight timelines and manage competing priorities
Ability to work well independently and collaboratively as part of a larger team
Experience in ESG-disclosure and/or cross-jurisdictional investment fund and asset management matters would be an asset
