Job Description 

The tasks, roles and responsibilities pertaining to the job role of a Manager / Senior Manager will include the following: 

  • Lead delivery of corporate secretarial and governance engagements for Indian and overseas clients across the entity lifecycle (set-up, ongoing compliances/managed services, transactional support and governance advisory). 

  • Own listed entity compliance and advisory workstreams including SEBI (LODR), SEBI (Prohibition of Insider Trading), SEBI (SAST), shareholder communications, disclosures, corporate actions and exchange interactions. 

  • Provide hands-on advisory under Companies Act, 2013 and allied rules, FEMA/Exchange Control regulations and other applicable regulatory frameworks, drive pragmatic, implementable solutions. 

  • Serve as the primary client relationship manager for assigned accounts—understand client business priorities, anticipate compliance risks and deliver high-quality outcomes within timelines and budgets. 

  • Demonstrate an entrepreneurial, market-focused approach—identify opportunities, support pursuits/proposals, contribute to go-to-market initiatives and help expand the EGC footprint in the West market. 

  • Drive governance advisory and policy workstreams (e.g., RPT, materiality, whistleblower, CSR, remuneration, board evaluation, code of conduct, UPSI/legitimate purposes, archival policy) aligned with SEBI and Companies Act requirements. 

  • Engage with regulators and intermediaries as needed (MCA, ROC, RD, RBI/AD Bank, stock exchanges, depositories); manage follow-ups, clarifications, approvals and adjudication/compounding support. 

  • Manage team performance and capability building—allocate work, coach and review outputs of Associates/Senior Associates/Analysts; build a culture of ownership and client service excellence. 

  • Contribute to thought leadership and knowledge management—track regulatory changes, develop client alerts/newsletters, deliver trainings/webinars and support internal technical upskilling. 

  • Support commercial and operational aspects of engagements including scoping, workplans, resourcing, risk/quality checks, billing milestones and collections, in line with firm policies. 

Profile Requirements 

To qualify for the role, a Manager / Senior Manager will need: 

  • Qualified Company Secretary (ICSI). LLB / Law qualification preferred. 

  • 5–10 years of relevant experience in corporate secretarial, entity governance and compliance, with strong exposure to advisory/consulting or in-house governance roles. 

  • Must have hands-on SEBI experience for listed entities, including SEBI (LODR), Insider Trading (PIT), SAST and related market disclosures/corporate actions. 

  • Strong working knowledge of Companies Act, 2013 and FEMA/Exchange Control regulations; ability to interpret regulations and translate into practical execution steps. 

  • Experience in independently managing multiple client engagements end-to-end, including planning, delegation, review, stakeholder management and timely delivery. 

Other prerequisite skills include: 

  • Entrepreneurial mindset with a market-facing approach—ability to identify client needs, contribute to proposals/pursuits and build long-term client relationships. 

  • Strong communication and executive presence (written/verbal) with confidence to engage with senior management, board members and external stakeholders. 

  • Strong analytical and problem-solving skills; comfort with ambiguity and ability to take ownership and drive closure. 

  • People leadership—ability to mentor and develop teams, provide quality reviews and manage performance with a coaching mindset. 

  • High attention to detail with strong quality orientation; familiarity with risk management and adherence to firm quality standards. 

  • Efficiency in MS Office (Word/Excel/PowerPoint) and strong drafting skills for memos, presentations, policies and board documentation. 

  • Commercial acumen—ability to scope work, manage budgets, support billing and collections, and deliver value-oriented outcomes.
