About the Role
Provide legal assistance on a broad range of legal and corporate governance issues. Resolve routine legal issues utilizing previous experience and judgment with an expected wide degree of creativity and latitude to plan and accomplish goals.
Day to day, you’ll…
- Working closely with the Vice President and Secretary of the company and other attorneys and paralegal in the department, provide paralegal support on a broad range of topics, including: (a) board of directors support and corporate governance matters; (b) public company securities disclosure and compliance; (c) strategic initiatives and corporate transactions; (d) subsidiary maintenance and governance; and (e) other corporate matters that arise from time to time related to mergers and acquisitions, corporate finance, state corporate law issues and other similar matters
- Along with the attorneys and other paralegal in the department, support corporate governance activities including assisting in the preparation for board of directors and committee meetings by preparing agendas, notices, corporate resolutions and other documents and the advising of senior executives on a wide range of legal and governance issues
- Provide support to the Vice President and Secretary and other attorneys on securities disclosure and compliance matters, including assisting with the preparation and filing of 10-Ks, 10-Qs, 8-Ks, proxy statements and Section 16 filings; research securities disclosure matters involving insider trading compliance issues and other securities issues
- Provide paralegal support for corporate transactions and subsidiary governance matters, including drafting agreements, resolutions and other documents, assisting with closings, and coordinating efforts with internal and external constituents as necessary
- Assist with administrative support to the department as necessary, including filing, record-keeping, document preparation, and other similar matters
- Communicate with all levels of other departments and respond to inquiries concerning corporate structure and governance
- As necessary, conduct legal research and analysis on a broad range of issues
- Assist in preparation of various legal reports and updates
- Other duties as assigned
Required Qualifications
- Bachelor’s degree in a related field or the equivalent through a combination of education and related work experience
- At least five years of public company corporate law experience as a paralegal in an in-house legal department or corporate law firm setting
- Knowledge of general principles of corporate law
- Proficient legal research skills
- Detail-oriented with analytical skills
- Must have the ability to take on substantive work with limited supervision and possess demonstrated ability to work independently on a variety of projects and tasks
- Effective oral, written, and interpersonal communication skills (with an emphasis on writing skills)
Preferred Qualifications
- Eight years of experience in an in-house legal department or corporate law firm setting
- Experience reviewing and responding to subpoenas or other legal requests for information
- Experience in a corporate legal department or law firm
- Experience in assisting in the preparation and filing of securities filings with the Securities and Exchange Commission via the EDGAR system
- Ability to conduct computerized legal research, including Westlaw, CD-ROM and Internet
- Experience assisting in Section 16 compliance and other executive compensation issues
- Understanding and previous use of a Windows-based computer system
- Proficiency in MS Word and Excel
