Position Overview

Voya Investment Management is seeking an experienced attorney to join the Legal Department supporting its institutional asset management business. This attorney will serve as a key partner to investment portfolio managers, product teams, client onboarding teams, and business leaders, and will provide legal support across the institutional asset management platform. The position requires a solid understanding of institutional asset management, private and public markets, investment advisory businesses, and the legal and regulatory frameworks applicable to asset management and institutional investors. This is an excellent opportunity for an attorney with [6-10] years of relevant experience to take on substantive responsibility within a collaborative, high-performing Legal team at a major institutional asset manager.

Key Responsibilities

  • Support investment advisory activities across a variety of platforms, including insurance company general accounts, private funds, collective investment trusts (CITs), separately managed accounts, commingled funds, and pension and retirement-related investment products.

  • Support strategic investment transactions, including structured investments, direct investments, and co-investments, from due diligence through closing.

  • Advise portfolio management teams on legal and regulatory considerations relevant to insurance company balance sheet investing, including statutory and regulatory considerations applicable to affiliated general accounts and third-party insurance clients.

  • Draft, review, and negotiate investment management agreements, confidentiality agreements, and client/investor-related transaction documents for institutional clients.

  • Coordinate with and manage outside counsel on transactional and regulatory matters.

  • Support regulatory and compliance matters relevant to the asset management platform, including Advisers Act, FINRA regulations, ERISA, and asset management-related regulatory frameworks.

  • Partner with Compliance and Risk Management teams to assess and mitigate legal and regulatory risks associated with investment products, investment activities, and strategic initiatives.

  • Assist with regulatory examinations, inquiries, and responses as required.

  • Collaborate with colleagues across the Legal, Compliance, and business teams on cross-functional initiatives and special projects.

Qualifications

  • J.D. from an accredited law school and active bar membership in good standing.

  • Approximately 6-12 years of relevant legal experience, gained at a leading law firm, in-house legal department, or a combination of both.

  • Substantive experience with institutional asset management, including exposure to a range of asset classes and client types.

  • Experience with insurance asset management strongly preferred, including familiarity with insurance company balance sheet investing and related regulatory considerations.

  • Experience with investment transactions, such as structured debt investments, private credit, direct investments, or investment restructurings.

  • Strong drafting, negotiation, and analytical skills, with the ability to manage multiple matters and deadlines independently.

  • Excellent judgment and communication skills, with the ability to convey complex legal and regulatory concepts clearly to business partners.

  • A collaborative, team-oriented approach and a demonstrated ability to work effectively across disciplines.

Compensation Pay Disclosure:

Voya is committed to pay that’s fair and equitable, which means comparable pay for comparable roles and responsibilities.

The below annual base salary range reflects the expected hiring range(s) for this position in the location(s) listed. In addition to base salary, Voya offers incentive opportunities (i.e., annual cash incentives, sales incentives, and/or long-term incentives) based on the role to reward the achievement of annual performance objectives. Please note that this salary information is solely for candidates hired to perform work within one of these locations, and refers to the amount Voya Financial is willing to pay at the time of this posting.

Actual compensation offered may vary from the posted salary range based upon the candidate’s geographic location, work experience, education, licensure requirements and/or skill level and will be finalized at the time of offer. Salaries for part-time roles will be prorated based upon the agreed upon number of hours to be regularly worked.

$200,000 - $230,000
