About the practice: Levenfeld Pearlstein (LP) is seeking a paralegal to support its Corporate Group. This is a newly created position driven by the continued growth of the firm's Corporate practice and ongoing investment in serving our expanding client base. LP's Corporate Group represents business organizations ranging from entrepreneurially operated mid-sized companies to large national and global companies. Our lawyers provide day-to-day general counseling to help clients understand and solve complex legal, tax, and business issues at every stage of representation. The ideal candidate for this position will have experience with M&A transactions, excellent communication and technical skills, and thrive in a team environment while still possessing initiative and drive.

Experience that makes you a fit:

  • Supporting business and real estate transactions, including:  
  • Drafting various transactional resolutions and other corporate transactional documents 
  • Diligence activities (e.g., establishing and maintain virtual data sites for transactions, preparing closing documents and coordinating items for closing and post-closing requirements) 
  • Reviewing transactions to confirm pertinent issues are addressed (e.g., franchise tax issues, doing business issues, timing of filings) 
  • Coordinating closing activities 
  • Preparing and files Form D and Blue Sky filings 
  • Preparing and files UCC Financing Statements 
  • Drafting entity formation and governance documents 
  • Preparing and files IRS documents 
  • Organizing and maintaining entity records 
  • Overseeing preparation of electronic closing binders 
  • Effectively utilizing the firm’s docketing system to track matters 
  • Communicating with clients and third parties throughout the course of a matter 

Requirements:

  • Bachelor’s Degree or Paralegal Certificate
  • Minimum 5-7 years of relevant corporate transactional and finance experience (will consider less experience for otherwise qualified candidate)
  • Superior oral and written communication skills
  • Strong technical skills
  • Excellent attention to detail
  • Excellent time management skills and ability to adjust to changing project priorities in a fast-paced and deadline-driven environment
  • Experience with drafting corporate documents
  • Experience preparing and organizing closing documents
  • A demonstrated commitment to providing superior client service
  • Must be able to work occasional overtime as needed

 

Salary and benefits:  The annual salary range for this position is $110,000-$120,000.  LP believes this is the pay range it will pay for this position at the time of posting. Consistent with applicable law, compensation will be contingent on the skills, qualifications, and experience of the applicant and the requirements of the position. LP offers generous compensation and benefits packages, including medical, dental and vision benefits, paid parental leave, tuition reimbursement, and eligibility for performance-based bonuses.
