Manager - Accounting and SEC Reporting
<p>Reporting to the VP of Accounting, this role is a key accounting owner supporting Tyra Biosciences' accounting, operational payroll, and external reporting functions. The primary focus is payroll, equity administration, and SEC reporting, with meaningful involvement in technical accounting. The role also supports R&amp;D accruals and general accounting, including accruals, prepaids, fixed assets, and month-end close, as needed.</p><p><br></p><p><strong>Key Responsibilities</strong></p><p><u>Payroll and Equity</u></p><ul><li>Manage full-cycle, multi-state payroll processing, ensuring accuracy, timeliness, and compliance with federal, state, and local regulations</li><li>Process payroll-related activities including salaries, bonuses, commissions, deductions, garnishments, tax reporting, and off-cycle payrolls</li><li>Process equity-related payroll activity, including option exercises, RSU vests, and sell-to-cover transactions, based on information provided by HR, Finance, and third-party equity platforms</li><li>Review payroll tax filings, W-2 review, 1099 (equity) year-end reporting, and resolution of tax-related inquiries</li><li>Serve as a key point of contact for internal and external payroll audits</li><li>Support employee onboarding and offboarding activities, including payroll setup, form processing, and employment changes</li><li>Review and process employee expense reports and related reimbursement workflows</li><li>Partner with HR, Finance, and external vendors to troubleshoot issues and improve service delivery</li><li>Monitor changes in payroll laws and regulations to ensure ongoing compliance</li><li>Build relationships and foster excellent collaboration and communication with internal and external stakeholders and partners</li></ul><p><br></p><p><u>SEC Reporting</u></p><ul><li>Assist with the preparation of quarterly and annual SEC filings (Forms 10-Q and 10-K), including the primary financial statements, footnote disclosures, and supporting schedules, and assist with 8-K exhibits and Section 16 filings</li><li>Assist in preparation and maintenance of XBRL and Inline XBRL tagging, including detailed footnote tagging, and support the financial statement review and filing process through the EDGAR submission</li><li>Assist in preparation and maintenance of supporting workpapers, tie-outs, and schedules that reconcile filing content to the general ledger and ensure internal consistency across the document</li><li>Assist in preparation of earnings/press releases, investor presentations, and related supporting schedules, ensuring consistency with the filed financial statements</li><li>Maintain the GAAP and SEC disclosure checklists and monitor, summarize, and assess the impact of new SEC rules, FASB standards, and staff guidance relevant to a pre-revenue company</li></ul><p><br></p><p><u>Technical Accounting</u></p><ul><li>Assist in researching, drafting, and maintaining technical accounting memos on non-routine and complex transactions, such as equity and warrant issuances, at-the-market (ATM) offerings, stock-based compensation, leases, and collaboration or licensing arrangements</li><li>Assist in documenting the application of relevant US GAAP (ASC) guidance, including analysis of alternatives and conclusions, and prepare supporting calculations to substantiate accounting positions</li><li>Support adoption and implementation of new accounting standards, including scoping, impact assessments, transition accounting, and drafting related disclosures</li><li>Assist in evaluating the accounting and disclosure implications of financing activities, equity compensation plans, and contractual arrangements with research and development partners</li></ul><p><br></p><p><u>R&amp;D Accruals</u></p><ul><li>Assist in preparing and maintaining R&amp;D accruals for clinical trials, CRO and CMO contracts, preclinical studies, and other research vendors, applying appropriate methodologies (e.g., percent complete, patient/site activity, and milestone-based estimates)</li><li>Partner with clinical operations, program management, and procurement to gather enrollment, site activity, milestone, and vendor spend data to support accrual estimates</li><li>Assist in performing monthly reconciliations of prepaid and accrued R&amp;D balances, analyze fluctuations against budget, forecast, and prior periods, and document explanations for material variances</li><li>Assist in reviewing vendor contracts, statements of work, and change orders to ensure spend is recorded in the correct period and consistent with contractual terms</li></ul><p><br></p><p><u>General Accounting</u></p><ul><li>Prepare and review month-end and quarter-end close journal entries, including accruals, prepaid expenses, fixed assets, stock-based compensation, and other operating expenses</li><li>Maintain the fixed asset subledger and capitalization policy application, including additions, disposals, transfers, and depreciation schedules, and reconcile to the general ledger</li><li>Prepare balance sheet account reconciliations and flux/variance analyses in support of the close, investigating and resolving reconciling items on a timely basis</li><li>Support the quarterly reviews and annual audit by preparing PBC schedules, responding to auditor requests, and helping to meet close and reporting deadlines</li><li>Execute and document key SOX controls within areas of responsibility, maintain supporting documentation, and assist with identifying and remediating control gaps</li><li>Contribute to process improvements, standardization of close procedures, and system or automation initiatives to enhance the efficiency and accuracy of the accounting function</li></ul><p><br></p><p><strong>Minimum Requirements</strong></p><ul><li>Bachelor’s degree in Accounting, Finance, or a related field; CPA or MBA preferred</li><li>5+ years of progressive accounting and finance experience, preferably within biotech, life sciences, or another public-company environment</li><li>Strong understanding of the month-end and quarter-end close process, including preparation and review of journal entries, accruals, prepaid expenses, fixed assets, and related supporting schedules</li><li>Experience preparing, analyzing, and reconciling balance sheet accounts, including timely investigation and resolution of reconciling items</li><li>Hands-on experience with accrual accounting, including R&amp;D accruals, vendor estimates, prepaid and accrued expense rollforwards, and variance analyses</li><li>Ability to prepare accurate, well-supported journal entries and accounting workpapers that clearly document conclusions, assumptions, and underlying support</li><li>Familiarity with payroll accounting, equity-related payroll activity, and the payroll implications of stock-based compensation, including RSUs, stock options, and tax withholdings, preferred</li><li>Understanding of multi-state payroll regulations, payroll tax compliance, and wage and hour requirements preferred</li><li>Familiarity with ERP accounting systems, such as Oracle or NetSuite, required</li><li>Experience with, or ability to quickly learn, accounting, payroll, equity, and SEC reporting platforms such as Equity Edge, ADP, DFIN, or similar systems</li><li>Familiarity with SEC reporting, including Forms 10-K, 10-Q, and 8-K, press releases, supporting tie-outs, and related public-company reporting materials</li><li>Familiarity with SOX controls, audit support, PBC schedules, and public-company control documentation is a plus</li><li>Strong reconciliation, analytical, and problem-solving skills with exceptional attention to detail</li><li>Excellent communication skills and ability to partner cross-functionally with HR, Finance, clinical operations, external vendors, auditors, and executive stakeholders</li><li>Ability to manage confidential information with discretion and professionalism</li><li>Comfortable operating in a hands-on role where the individual can execute tactically while improving processes strategically</li></ul><p><br></p><p><strong>Pay Range and Benefits</strong></p><p><strong>Base Salary Range</strong>: $143,034 - $150,846 USD</p><p>Individual compensation will be determined based on factors such as work location, skills, education,
