Competitive base pay, benefits, bonus program

The McKesson Medical-Surgical Inc. (MMS) Legal Department is seeking a mid-level attorney to support a broad range of corporate transactions and strategic legal matters, including capital markets transactions, M&A, treasury and financing matters, and bankruptcy-related issues.

This role is well suited for an attorney who has strong corporate transactional experience, sound judgment, and the ability to coordinate complex matters across internal teams and outside counsel.  The attorney will not be expected to independently handle every specialized aspect of these workstreams; rather, the successful candidate will be expected to exercise sound judgment in identifying legal issues, managing complex workstreams, coordinating internal stakeholders, and leveraging outside counsel and subject matter experts where appropriate.

The role reports to the Managing Principal Counsel, Corporate Governance & Strategic Transactions. This role is critical to MMS’s transition to a standalone company and this attorney will provide strategic, practical legal counsel and project support across a range of corporate transactions and strategic legal matters, including capital markets transactions, M&A, treasury and financing matters, and bankruptcy-related issues. The successful candidate will help identify legal issues, manage internal processes, coordinate with business and legal stakeholders, and effectively leverage outside counsel.

What You’ll Do

  • Capital Markets, Treasury and Financing Support. Provide legal support for capital markets, treasury, and financing activities, including debt offerings, credit facilities, liquidity initiatives, share repurchase programs, swaps, financing arrangements, and other strategic financing transactions, working in partnership with internal stakeholders, and outside counsel as appropriate.

  • M&A and Strategic Transactions. Lead legal workstreams for acquisitions, divestitures, joint ventures, investments, and other strategic transactions, including transaction planning, due diligence, legal risk assessment, internal approvals, transaction documentation, closing coordination, and post-closing integration or separation activities in partnership with internal stakeholders, and outside counsel as appropriate. Support enterprise-wide strategic initiatives associated with MMS’s separation and transition to an independent public company.

  • Bankruptcy and Credit Matters. Provide support on bankruptcy, credit, and distressed counterparty issues that may affect corporate transactions, financing arrangements, commercial relationships, or strategic initiatives, in coordination with senior legal leaders and outside counsel.

Minimum Requirements

  • Juris doctor degree or equivalent

  • 4+ years relevant experience practicing as an attorney with mid-level corporate transactional experience, preferably including capital markets, M&A, financing, bankruptcy, or other complex corporate matters

  • Admitted to practice before a state bar, with active license in good standing

Critical Skills & Experience

  • Mid-level corporate transactional experience, preferably including capital markets, M&A, financing, bankruptcy, or other complex corporate matters.

  • Proficiency in communicating with and providing clear, practical counsel to business leaders.

  • Ability to manage outside counsel and specialized advisors in a manner that balances quality, efficiency, and cost discipline.

  • Efficiency in working both independently and collaboratively, with a record of developing strong working relationships in a matrixed enterprise environment.

About McKesson Medical-Surgical

McKesson Medical-Surgical (MMS) is a subsidiary and publicly reported segment of the McKesson Corporation (NYSE: MCK). MMS distributes medical-surgical supplies, pharmaceuticals, diagnostic equipment and supplies, along with other solutions and services to virtually every type of healthcare setting and provider outside of the traditional hospital. These markets – often referred to as Alternate Care or Non-Acute Care – include physician offices, surgery centers, long-term care providers, laboratories, home health and hospice agencies, health systems, government facilities and online marketplaces and retailers.

Alternate Care markets are growing rapidly and MMS is proud to be a leader in this space. With a team of approximately 8,000 employees, a network of 15 distribution centers and approximately 900 delivery vehicles, we partner with more than 2,200 leading manufacturers and serve over 200,000 customer accounts across the U.S. Our catalog includes more than 280,000 SKUs of branded and private-label medical-surgical products – from bandages to specialty pharmaceuticals and COVID-19 tests.

Looking Ahead: A New Chapter

McKesson has announced its intent to separate MMS into an independent company – an exciting evolution that builds on MMS’s strong foundation and proven leadership in the Alternate Care space. As a standalone company, MMS would be positioned to unlock new opportunities to innovate, grow and lead with even greater agility and focus. MMS will also continue to be one of the largest medical-surgical distributors in the U.S., with over $11B in annual sales. This separation would accelerate our mission and empower us to shape a future defined by customer-centricity, bold thinking and operational excellence. For job seekers, it’s a unique moment to join a team that’s already making a meaningful impact and leading the way in shaping the future of healthcare delivery in Alternate Care settings – with even greater opportunity ahead as we prepare to become an independent company.
