Job Summary:
We are seeking an experienced, detail-oriented Corporate Paralegal to support our in-house legal department across a broad range of corporate legal matters. This role will partner closely with corporate counsel by assisting with contract administration, corporate governance, entity management, legal research, compliance initiatives, litigation support, and general legal operations. The ideal candidate is highly organized, proactive, and thrives in a fast-paced, multi-state corporate environment.
Key Responsibilities:
- Draft, review, revise, and manage a variety of legal documents and commercial agreements for attorney review.
- Assist with contract administration, including preparing first drafts, redlines, summaries, and maintaining contract records.
- Coordinate entity formations, foreign qualifications, annual reports, registered agent matters, and other corporate governance filings across multiple jurisdictions.
- Maintain corporate records, including organizational documents, resolutions, operating agreements, bylaws, and corporate minute books.
- Conduct legal research and prepare summaries, memoranda, and supporting documentation for internal legal matters.
- Assist with litigation support by managing subpoenas, document requests, legal holds, and discovery-related materials.
- Review and organize documentation related to claims, disputes, regulatory matters, and internal investigations.
- Prepare draft correspondence and legal communications for attorney review.
- Coordinate with internal departments, outside counsel, government agencies, and third-party vendors on legal matters.
- Track legal deadlines, maintain matter management systems, and ensure accurate organization of legal files and records.
- Support compliance initiatives by maintaining documentation, tracking regulatory filings, and assisting with internal policies and procedures.
- Assist with special legal projects and provide general administrative support to the legal department as needed.
Required Qualifications
- Paralegal certificate, Associate's degree, Bachelor's degree, or equivalent combination of education and relevant legal experience.
- Minimum of 3 years of corporate paralegal experience, preferably supporting an in-house legal department or corporate legal team.
- Experience with corporate governance, entity management, and multi-state corporate filings.
- Experience reviewing, drafting, and organizing commercial contracts and other legal documents.
- Strong understanding of legal terminology, document preparation, and corporate legal processes.
- Excellent written and verbal communication skills.
- Strong organizational skills with the ability to manage multiple priorities and deadlines simultaneously.
- High level of discretion when handling confidential and sensitive information.
- Advanced proficiency in Microsoft Office, particularly Word, Excel, and Outlook.
Preferred Qualifications
- Experience supporting a multi-state or national organization.
- Familiarity with litigation support, document management systems, contract lifecycle management software, or entity management platforms.
- Experience coordinating with outside counsel and regulatory agencies.
- Experience supporting mergers and acquisitions, corporate transactions, or compliance initiatives.
- Knowledge of employment, commercial, real estate, or general corporate law.
