About the Role
At Pavago, one of our clients is hiring an experienced Attorney / Lawyer to provide legal guidance across corporate matters, commercial contracts, compliance, governance, and risk management.
This is a business-facing legal role — not simply a contract review position. You’ll work closely with leadership and cross-functional teams to help the organization make sound decisions, protect its interests, and operate within applicable legal and regulatory requirements.
You’ll be responsible for:
- Commercial contract drafting and negotiation
- Corporate governance
- Legal research and advisory
- Regulatory and compliance support
- Dispute and litigation coordination

What You’ll Own
Contract Drafting, Review & Negotiation
- Draft, review, revise, and negotiate:
- NDAs
- MSAs
- Service agreements
- Vendor agreements
- Employment agreements
- Commercial contracts
- Leases
- Other business agreements
- Identify unfavorable or high-risk contractual provisions.
- Recommend practical revisions and risk-mitigation strategies.
- Support leadership during commercial negotiations.
- Maintain accurate contract versions, approvals, and executed agreements.
Legal Research & Business Advisory
- Conduct legal research using resources such as:
- Westlaw
- LexisNexis
- Practical Law
- Research applicable laws, regulations, and case law.
- Translate complex legal issues into clear, actionable business guidance.
- Advise leadership and stakeholders on legal and operational risks.
- Help teams make commercially practical decisions while maintaining appropriate legal protections.
Corporate Governance
- Draft and maintain:
- Corporate resolutions
- Operating agreements
- Governance documents
- Corporate records and filings
- Support entity governance and corporate housekeeping.
- Maintain accurate and organized legal records.
- Assist leadership with governance-related requirements and documentation.
Compliance & Risk Management
- Monitor relevant regulatory and compliance requirements.
- Support matters involving areas such as:
- Employment law
- Data privacy
- GDPR
- HIPAA
- FTC requirements
- SOX
- Industry-specific regulations
- Help develop and maintain internal policies and compliance procedures.
- Identify potential legal exposure before it becomes a larger business risk.
- Maintain organized, audit-ready compliance documentation.
Disputes & Litigation Support
- Draft legal correspondence and litigation-related documentation when required.
- Assist with:
- Pleadings
- Motions
- Discovery responses
- Case documentation
- Coordinate matters with outside counsel.
- Track litigation deadlines and required filings.
- Support dispute resolution and risk-mitigation strategies.
Legal Operations & Documentation
- Maintain organized and secure:
- Legal files
- Contract databases
- Compliance records
- Matter documentation
- Improve contract and legal review workflows.
- Standardize templates and recurring legal processes.
- Ensure documentation remains searchable, current, and audit-ready.

Required Experience & Qualifications
- Juris Doctor (JD) or equivalent law degree.
- Active bar admission in at least one U.S. jurisdiction.
- 3+ years of legal practice experience within a law firm, corporate legal department, or similar environment.
- Demonstrated experience drafting, reviewing, and negotiating commercial agreements.
- Experience providing legal and compliance guidance.
- Strong understanding of corporate and commercial legal matters.
- Excellent legal research and analytical skills.
- Strong written and verbal English communication.
- Ability to manage multiple legal matters independently.
- High standards of confidentiality, ethics, and professional judgment.
Preferred Experience
- Prior in-house counsel experience.
- Multi-jurisdictional or international legal exposure.
- Experience involving:
- Corporate law

What a Typical Day Looks Like
You may begin by reviewing contracts awaiting legal approval and responding to questions from leadership or operational teams.
Throughout the day, you could negotiate an MSA, research a regulatory question, review an employment agreement, prepare corporate documentation, coordinate with outside counsel, or assess the legal implications of a business decision.
You’ll also keep contracts, legal matters, compliance obligations, and deadlines properly documented and tracked.
In short: you help the organization move quickly and confidently while managing legal exposure and maintaining appropriate compliance.
